How to Make Your HVAC Business Sellable: What UK Buyers Look For

You didn’t start a heating and cooling business to build a saleable asset. You started it to do good work, look after your customers and get paid fairly for it. Then something shifts. A fortnight away still means the phone rings for you. A senior engineer leaves and half the install schedule falls over. A letter arrives from a consolidator asking whether you would consider a conversation. And a different question creeps in: what is this business actually worth, and could it run without me?

This guide is for owners of UK HVAC, air conditioning and renewables businesses who want to understand how buyers assess a business before they are sitting across the table from one. It covers how valuations are set, what buyers check, how the tax position has changed and what to work on now, whether a sale is two years away or twenty.

Why a growing HVAC business is not always a sellable one

A business can grow turnover every year and still be hard to sell. Growth in HVAC is usually growth in workload rather than growth in infrastructure: more contracts, more engineers, more vans, while pricing decisions still sit with the owner, key client relationships are still personal, and the operation still depends on the owner being reachable most hours of most days. In larger firms with a management team in place, the same pattern often survives at a different level, with the big decisions still routing through one desk.

A buyer, whether a private equity platform, a trade consolidator or a competitor, is not just buying today’s revenue. They are buying the likelihood that it continues without you. If it cannot, they will price that risk in, push part of the price into an earn-out, or walk away. Growth alone can even stall a business rather than strengthen it, as covered in the five stages of business growth.

Check your business In the last three years, has profit grown in line with turnover, or has it lagged behind? Which decisions still have to come to you before work can move? Could you take a fortnight off without the phone ringing for you?

How is an HVAC business valued?

Most established HVAC businesses are valued on earnings, not turnover. The starting point is usually adjusted EBITDA: operating profit before interest, tax, depreciation and amortisation, restated to remove one-off costs and owner-specific items such as a salary set above or below the market rate for the role. That figure is multiplied by a multiple the buyer judges appropriate for the risk that those earnings will not continue.

Two businesses with identical profit can therefore attract very different offers. The earnings are the same; the confidence in them is not. Everything buyers assess, set out in the next section, feeds into that multiple. The EBITDA bridge is the document that reconciles reported profit to the adjusted figure a buyer will actually price, and it is worth understanding long before anyone asks to see it.

Why the headline price is not the whole offer

Offers are rarely all cash on completion. Part of the price may be deferred and paid over an agreed period, or tied to an earn-out, where the final amount depends on the business hitting targets after the sale. The more a business depends on its owner, the more of the price a buyer tends to move into those later payments, because the risk then sits with the person still running it. A lower headline figure with more cash at completion can be worth more than a higher one that depends on the next three years going to plan.

Check your business If a buyer asked for a single figure, what would your earnings be once one-off costs and your own salary were adjusted to market rate? Would you know how to explain why your business deserves a higher multiple than a competitor with the same profit? How much of a sale price would you be comfortable receiving after completion, dependent on how the business performs without you?

What do buyers look for when assessing an HVAC business?

None of this is secret, and it is useful to know even if you never sell, because the same things make the business easier to run day to day.

What buyers assess	Why it matters	What good looks like
Revenue mix	Maintenance and service agreements are more predictable than one-off installation or reactive work, so buyers weight them more heavily.	A meaningful and growing share of revenue from planned maintenance, not just installs.
Contract quality	A long list of loosely worded, underpriced agreements is a habit, not an asset. Change of control clauses can let a client walk when the business is sold.	Written contracts priced against the visits actually required, with renewal history and terms that survive a change of ownership.
Customer concentration	If one or two clients leave, does the business still stand?	No single client or main contractor accounts for an outsized share of revenue.
Engineer depth	Is critical knowledge held by one or two people, or spread across the team?	More than one engineer competent on each major system type and key client site, and a stable team.
Owner dependency	Can the business quote, decide and resolve problems without the owner in the room?	Documented pricing logic, delegated authority and a functioning team below the owner.
Systems and process	Is operational knowledge written down, or in one person’s head?	Scheduling, pricing and quality processes a new manager could pick up and follow.
Financial information	A blended gross margin can hide installation work being won at or below cost.	Monthly management accounts, job-level costing, and service and installation margins reported separately.
Compliance and certification	Buyers check F-Gas, Gas Safe (where gas work is done), MCS and health and safety closely in a technical trade.	Certifications current, documented and not reliant on one individual. See which certifications each installation sector requires.

None of these is exotic. They are the same things that make a business easier to hire into, run and take a proper holiday from, and most of them are also the constraints that cap growth, covered in how to grow an HVAC business. The link between fixing them and a higher valuation is set out in how operational improvement increases business value.

Check your business What share of last year’s revenue came from planned maintenance rather than installs or reactive work? If your largest client left tomorrow, how much of your profit would go with them? Could you show a buyer service and installation margins separately, month by month?

How can you tell whether the business could run without you?

Here is a practical way to check where you stand rather than guessing. Could you take a full month away from the business, with no calls and no emails, and come back to find it running at the same standard?

Most owners’ honest answer is no. That is not a failure; it is the starting point almost everyone works from. What matters is being precise about why, and the answers often point to the operating model rather than any single person. Why target operating models fail, and how to fix them covers where that work usually sits, and moving knowledge out of memory into documented operating procedure is typically the first practical step.

Check your business Who approves a quote above a set value, and what happens if that person is away? Which clients would call you directly rather than anyone else in the business? When a job goes wrong on site, who resolves it, and how many times this month did that land with you?

Why buyer interest in UK heating and cooling businesses has grown

For years the assumption in the trades was that you would sell to a competitor or hand the keys to a son or daughter. That has shifted. BDO’s 2026 facilities management report found that deal volumes across UK facilities management reached an all-time high in 2025. Building maintenance and M&E transactions, the category heating and cooling contractors sit within, made up half of all facilities management deals in 2025, up from 31% in 2021. The same report notes private equity increasingly acquiring platforms to consolidate technical and compliance-led services, where long-term recurring revenue offers stability (BDO, Facilities Management report, March 2026).

Policy adds a second reason. Funding and building regulations continue to move UK heating towards electrification, and buyers building larger platforms often prefer to acquire certified heat pump, controls and renewables capability rather than develop it themselves. What recent electrification policy means for UK installation businesses is covered separately.

Practically, that means more realistic buyers, more competitive processes and more owners discovering their business is more attractive than they assumed, provided it does not depend entirely on them.

Check your business If a buyer approached you this month, would you be ready to have the conversation, or would you need a year first? Which parts of your business would a larger group want: the contract book, the engineers, the accreditations or the customer relationships? Do you know what your business would look like to a buyer, or only what it looks like to you?

When should you start preparing to sell an HVAC business?

Earlier than feels necessary. Owners consistently underestimate how long it takes to move from profitable to genuinely sellable. Changing the revenue mix towards maintenance, building management depth and documenting how the business runs typically takes eighteen months to two years of deliberate work. A pre-sale tidy-up in the final six months rarely convinces a buyer’s due diligence team, who can tell the difference between a business that has always run well and one that has been prepared for inspection.

That is not a discouraging number; it is a planning number. The earlier the work starts, the more options you have and the less pressure you are under when the right buyer or the right moment arrives. Cash discipline is part of it too: a business that has closed the gap between quote and cash presents cleaner working capital in due diligence.

How the tax position on a sale has changed

Business Asset Disposal Relief, formerly Entrepreneurs’ Relief, reduces the Capital Gains Tax an owner pays on qualifying gains when selling all or part of a business. The rate has risen twice in two years:

Date of disposal	Business Asset Disposal Relief rate
On or before 5 April 2025	10%
6 April 2025 to 5 April 2026	14%
From 6 April 2026	18%

The relief is capped at £1 million of qualifying gains over a lifetime. For a share sale, the conditions include having been an employee or office holder of a trading company, and holding at least 5% of the shares and voting rights, for at least two years before the sale (GOV.UK, Business Asset Disposal Relief).

A rate change on its own is rarely a good reason to sell early. A business sold before it is ready usually gives up more through a lower multiple and tougher terms than it saves in tax. Tax treatment depends on individual circumstances and how the sale is structured, so take advice from a qualified tax adviser before planning around any of this.

Check your business If you started preparing today, which year would the business realistically be ready to sell? Are your management accounts produced monthly, and would they stand up to a buyer’s due diligence? Have you spoken to a tax adviser about how a sale would be treated in your circumstances?

What does “done” look like for you?

Before working on any of the above, it is worth answering a more basic question. What does done actually look like? A full exit? Bringing in investment while staying on to run the business? A partial sale that takes some risk off the table while you keep building? A management buyout, a sale to an employee ownership trust, or passing it to family with the business standing on its own?

There is no wrong answer, but the answer changes what to prioritise. An owner planning a full exit in three years has a different task list from one who mainly wants the business to run without them so they can finally take proper time off. Naming the answer early is what turns a vague intention to sell one day into an actual plan, and it is usually the difference between owners who make steady progress and owners who are still saying the same thing five years later.

Check your business If the business sold tomorrow, what would you want to be doing the following Monday? Do you want to leave entirely, stay on in a different role, or keep a stake? Have you and any co-owners or family agreed on what done looks like, or only assumed it?
